1. Introduction

These Terms do not alter the terms of any separate written agreement you may have with us for specific HVAC installation, repair, or maintenance work. In the event of a conflict between these Terms and a signed service agreement or invoice, the signed agreement or invoice will control with respect to the conflicting subject matter.

• Use the Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

We reserve the right, in our sole discretion and without liability to you, to refuse service, terminate or suspend your access to the Services, or cancel appointments if we believe you have violated these Terms, provided false information, engaged in abusive or unsafe behavior, or otherwise acted in a manner that is harmful to our staff, our customers, or our business.

A binding agreement for HVAC services is formed only when we confirm your appointment and scope of work in writing, by email, text message, or on a signed service document.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL IRVING HVAC CONTRACTOR, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

5. General Terms

5.1 Indemnification

You agree to indemnify, defend, and hold harmless Irving HVAC Contractor and our owners, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any rights of another person or entity.

5.2 Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Texas, without giving effect to its conflict of laws principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of such courts.

5.3 Severability & Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

5.4 Entire Agreement

These Terms, together with any additional written service agreements or invoices you may sign with us, constitute the entire agreement between you and Irving HVAC Contractor regarding your use of the Services and supersede any prior or contemporaneous understandings or agreements, whether written or oral, regarding the same subject matter.
